3. Eligibility

8. Affiliate Disclosure

We earn commissions. DontPayFull.com participates in affiliate marketing programmes. DontPayFull has no authority to extend the validity of a coupon, create exceptions to a merchant's terms, or compel a merchant to honour a code that it has decided to discontinue. • Any loss of profits, revenue, data, business opportunities, or goodwill;

• Any loss or damage arising from your use of, or inability to use, any Third-Party Site linked from the Website;
• Any loss or damage arising from unauthorised access to or alteration of your transmissions or data;

Where DontPayFull's liability cannot be fully excluded under applicable Romanian or EU mandatory consumer protection law, our total aggregate liability to you for all claims arising out of or relating to your use of the Website shall not exceed one hundred euros (EUR 100) or the minimum amount permitted by applicable law, whichever is greater.

Consumer rights preserved. Nothing in this Section shall limit or exclude DontPayFull's liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under Romanian law or applicable EU consumer law.

12. Indemnification

You agree to indemnify, defend, and hold harmless DontPayFull SRL and its directors, officers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms;
• Your use of the Website in a manner not authorised by these Terms;
• Any content you submit to the Website that infringes the intellectual property rights or other rights of any third party;
• Your violation of any applicable law, regulation, or third-party right;
• Any misrepresentation you make in connection with your use of the Website or your account.

This indemnification obligation survives the termination of these Terms and your use of the Website. DontPayFull reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defence of that matter.

Note: If you are a consumer resident in the European Union, this indemnification clause does not affect any mandatory consumer protection rights you hold under applicable EU or Romanian law.

13. Changes to These Terms

Material changes. We will endeavour to provide at least 30 days' notice before a material change takes effect, where this is reasonably practicable.

Continued use constitutes acceptance. No waiver. DontPayFull's failure to enforce any right or provision of these Terms on any occasion shall not constitute a waiver of that right or provision in the future. No waiver of any provision of these Terms shall be effective unless made in writing and signed by an authorised representative of DontPayFull SRL.

Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and DontPayFull SRL with respect to your use of the Website and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral, relating to that subject matter.

16. Governing Law and Jurisdiction

Governing law. These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of laws principles, to the extent permitted by applicable EU law.

Jurisdiction. Subject to the mandatory consumer protection provisions described below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Website shall be submitted to the exclusive jurisdiction of the courts of Bucharest, Romania.

EU mandatory consumer protections. If you are a consumer habitually resident in a Member State of the European Union, you benefit from mandatory provisions of the law of your country of habitual residence that cannot be derogated from by agreement. Nothing in these Terms affects your right to rely on those mandatory provisions. In particular, pursuant to Regulation (EU) No 1215/2012 (Brussels I Recast), you may bring proceedings against DontPayFull in the courts of your country of domicile, and we may only bring proceedings against you in the courts of the country where you are domiciled.

UK mandatory consumer protections. If you are a consumer habitually resident in the United Kingdom, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or other applicable UK consumer protection legislation. You may bring proceedings against DontPayFull in the courts of England and Wales, Scotland, or Northern Ireland, as applicable to your place of residence.

Canadian mandatory consumer protections. If you are a consumer resident in Canada, nothing in these Terms affects your rights under applicable federal or provincial consumer protection legislation, including the Consumer Protection Act 2002 (Ontario), the Consumer Protection Act (Quebec), and equivalent provincial statutes. Where mandatory provisions of Canadian law provide you with rights that cannot be excluded by contract, those rights are not affected by these Terms.

Australian mandatory consumer protections. If you are a consumer resident in Australia, nothing in these Terms affects your rights under the Australian Consumer Law (ACL), being Schedule 2 to the Competition and Consumer Act 2010 (Cth). The ACL provides consumer guarantees and other protections that cannot be excluded, restricted, or modified by agreement. To the extent that any provision of these Terms is inconsistent with a right you have under the ACL, that provision is void to the extent of the inconsistency.
